Charles E. Bayless |
Mr. Bayless is President of the West Virginia University Institute of Technology, a regional Campus of West Virginia University specializing in Engineering, Nursing, Athletic Coaching, Printing and General Education. Prior to Dec 27, 1999 Mr. Bayless was Chairman, President, and Chief Executive Officer of Illinova Corporation, and its’ wholly owned subsidiary, Illinois Power Company, an electric and natural gas utility with more than half a million customers and approximately 4,500 megawatts of electricity generating capacity.
Prior to joining Illinova Corporation in June 1998, Mr. Bayless was employed by Tucson Electric Power Company ( UniSource Energy); as Chairman, President, and Chief Executive Officer. From 1981 to 1989, Mr. Bayless worked for Public Service Company of New Hampshire where he was Senior Vice President and Chief Financial Officer. Before that, he was employed by Consumers Power Company in Jackson, Michigan, from 1972 to 1981 — first as an attorney, then as the Director of Nuclear Fuel Supply, and finally as the Director of Special Corporate Projects. Prior to that Mr. Bayless had summer jobs in line construction and at power plants at Kentucky Power and Pennsylvania Power and Light.
Mr. Bayless received his BSEE from West Virginia Institute of Technology in 1968. In 1971, he earned his MSEE, in power engineering, and in 1972 his law Degree, both from West Virginia University. He earned his MBA in 1977 from the Graduate School of Business Administration at the University of Michigan.
Mr. Bayless is a Board Member of Dynegy, where, he has been Chairman of the Audit Committee and of the Governance and Nominating Committee, Primary Energy Inc., Commerce Energy and Thermon, Inc. He is Chairman of the board of Independent Wireless One and a Board member of the Ontario Power Authority. He is a past Board Member of Patina Oil and Gas, Trigen Energy Inc., EPRI and EEI. In 1993, Financial World awarded Mr. Bayless its CEO of the Year Bronze Medal. Also in 1993, the Wall Street Transcript named Mr. Bayless the winner of its CEO of the Year Bronze Medal. In 1995, Financial World awarded Mr. Bayless its CEO of the Year Silver Medal.
Mr. Bayless’s involvement with the Boy Scouts of America is extensive. He is a member of the National Advisory Board, a past member of the National Board of Directors, a Member and past Chairman of the Philmont Ranch Committee; a Board Member of the Buckskin Council and past President of the Catalina Council. He was Support Chairman for the Boy Scouts of America at the 1999 World Jamboree (held in Chile), was Program Chairman of the Boy Scouts of America 1997 National Jamboree and led the Project 2005 team at the 2001 Jamboree. Mr. Bayless was Chairman of the National Venture Exploring Committee and he is a recipient of the Boy Scouts Silver Beaver and silver Antelope Award and the Distinguished Eagle Scout Award.
Mr. Bayless is also past Chairman of the Southern Arizona Leadership Council (a CEO Organization): a past Member of the University of Arizona Business School National Board of Advisors; a Member of the West Virginia University Engineering Academy; a past member of the Arizona Commission on Appellate Judicial Appointments, a past Board Member of the Public Utilities Reports, Inc.; and a past Board Member and Vice President of the Tucson Metropolitan Chamber of Commerce. Mr. Bayless is an inactive member of the Michigan and West Virginia Bar Associations; a member of Tau Beta Pi Engineering and Eta Kappa Nu Electric Engineering honorary fraternities and a member of the Phi Delta Phi Legal Fraternity; an Eagle Scout.
Mr. Bayless is a native of Dunbar, West Virginia. He is married to the former Joan Schulter, a native of Allentown, Pennsylvania. They are the parents of one daughter Lisa and one son, Charles.

Walter C. Pellish |
Walt Pellish retired as Vice President, Administration from Better Minerals & Aggregates Company, a major industrial minerals mining and processing company, with 26 operating locations in 13 states. During his 40 year career he was associated with RTZ, U S Borax, ITT Corporation, and Honeywell Inc.
Mr. Pellish has extensive experience in labor relations, employee relations, recruiting, compensation and benefits, management development and training, and other HR functions. He has negotiated and administered numerous labor contracts with Teamsters, Steelworkers, Laborers, Operating Engineers, and other unions. He has effectively worked with all levels of personnel, hourly through executive, in developing and administering various programs. He was actively involved in organization analysis and strategic business planning.
Walt is a graduate of Penn State University with a BA in Labor Management Relations. He resides in Shepherdstown, WV and is active in the community, serving on- the boards of, City Hospital Foundation, Gateway New Economy Council, and Jefferson County Schools Education Foundation. He is currently associated with Maiden Financial Inc. as an executive benefits consultant.

Dan Marshall |
Born in Parkersburg, West Virginia, May 3, 1946. Current resident of Vienna, West Virginia.
Practicing attorney in Parkersburg, West Virginia, concentrating in the fields of commercial real estate and public finance law.
Owner of several real estate investment and development entities with commercial and multifamily property holdings.
Member, Vice President and Finance Committee Chairman of the School Building Authority of West Virginia, 1989 to 1990. Member West Virginia Pension Board Review Committee, 2001-2005.
Graduate of Marietta College (BA) 1970 and West Virginia College of Law (ID) 1973.
Parent of three daughters, Susan, an Ohio Wesleyan graduate and office manager in Columbus, Ohio; Kristen, a University of South Carolina graduate and recreation facilities manager in Columbus, Ohio, and Melanie, a Purchase College graduate and member of Kaliedescope Dance Company of Indianapolis, IN.

Mr. Dean was born in Fairmont, West Virginia and has resided in Blacksville, West Virginia for the past 45 years. He graduated from Clay- Battelle High School and attended Waynesburg Pennsylvania College for 1 year.
In 1977 he became an Apprentice of Iron Workers Local Union 549 and graduated to Journeyman in 1980. He was elected Business Manager of Iron Workers Local 549 in 1994 and still holds that position. He was appointed Trustee of the Eastern Ohio, Western Pennsylvania and Northern West Virginia Iron Workers District Council in 1994 and at present serves as 1 st Vice President of the Council. He has served as President of the Upper Ohio Valley Building and Trades for the past 8 years. He also serves as Chairman of the Trustees of the North Central Building and Trades.
He is married to Clara and has two sons, Jay and Ben.

Brooks F. McCabe, Jr. |
Brooks F. McCabe, Jr., currently serves as Senior Managing Director of McCabe-Henley LP. He has been involved in commercial and investment real estate for more than twenty years.
By specializing in rehabilitation of historic properties with a focus toward adaptive reuse, Mr. McCabe has been recognized for his efforts in the redevelopment of downtown Charleston’s Historic Village District and of downtown Fairmont’s Historic District. He has renovated, as developer/owner, more than one dozen properties. Currently Mr. McCabe is managing the redevelopment of the former Kanawha Banking & Trust (KB&T) building in Charleston and Veterans Square in Fairmont.
Mr. McCabe formerly served as Coordinator of the Comprehensive Housing Program of the State of West Virginia and Director of the Disaster Recovery Office (with a $20 million program budget and oversight for $100 million in government funds), both by appointment of the Governor. In addition, he was Assistant to the Director for planning and redevelopment in the Office of Federal/State Relations.
Mr. McCabe holds the academic degrees of Doctor of Education from West Virginia University, with concentration in planning and community development and Master of Education (Education Administration) and Bachelor of Science (Management Engineering), both from the University of Vermont. Mr. McCabe’s professional designations include: the American Institute of Certified Planners (AICP) and Certified Commercial Investment Member (CCIM) in the REALTORS® National Marketing Institute. He is a member of various professional associations.
In 1995, Inc. Magazine and Ernst & Young named Mr. McCabe and his partner, Rudy Henley, West Virginia Real Estate Entrepreneurs of the Year.
Community/Civic Involvement
An active supporter of downtown revitalization efforts, Mr. McCabe is a longtime board member of Charleston Renaissance Corporation, which is dedicated to redeveloping the city’s downtown. He strongly supports the National Trust for Historic Preservation and its Main Street Program
Other boards on which he currently serves include the Chemical Alliance Zone and the Visiting Committee of West Virginia University Historical Art Collection. In addition to membership in various Honoraria and fellowships, he is a past member of the Board of Trustees of the Charleston Area Medical Center, West Virginia State College Foundation, the University of Vermont, and The GOW School (from which he graduated), a private college preparatory school for dyslexic students in South Wales, NY.
Mr. McCabe also serves Kanawha County as State Senator in the West Virginia Legislature. He is Chair of the Senate Committee on Economic Development and Co-Chair of the Joint Commission on Economic Development.

Jane L. Cline, Insurance Commissioner |
Jane L. Cline was appointed West Virginia Insurance Commissioner January 15, 2001. In addition to her responsibilities as Insurance Commissioner, Ms. Cline serves as Secretary-Treasurer of the National Association of Insurance Commissioners (NAIC), as well as Chair of the Management Committee of the Interstate Insurance Product Regulation Commission. During her tenure she has held various leadership positions with the NAIC.
As West Virginia Insurance Commissioner, Ms. Cline is responsible for the regulation of the insurance market as well as administering the transition of the state workers’ compensation system from a state monopolistic system to a competitive private system and is now preparing West Virginia’s marketplace for the entrance of private carriers in 2008.
Before her appointment as Insurance Commissioner, Ms. Cline operated a government consulting firm, Jane L. Cline & Associates.
Ms. Cline served as Commissioner of the West Virginia Division of Motor Vehicles (DMV) from November 1989 to October 1997 where her focus was on making the Division=s services more accessible to all citizens of West Virginia by opening and expanding regional offices. While she was DMV Commissioner she served in several positions with the American Association of Motor Vehicle Administrators. She was its treasurer and the President of the Southeastern Zone. She also served on its Board of Directors and its AMMVANET Board of Directors.
Prior to her appointment as DMV Commissioner, Ms. Cline served as Deputy Commissioner for the West Virginia Division of Highways.
A native of Preston County, the Commissioner holds a Bachelor of Science degree in Business Administration from West Virginia University and a Masters Degree in Business Administration from the University of West Virginia College of Graduate Studies. She is married to Robert M. Chilton.
